Terms of Service

These Terms of Service ("Terms") govern your use of the website www.techm8.in and all services provided by TechMate Web Solutions ("Company", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Acceptance of Terms

By using our website, submitting an enquiry, or entering into a service agreement with us, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to comply with these Terms and all applicable laws.

2. Our Services

TechMate Web Solutions provides a range of digital services including, but not limited to:

• Website design and development
• Web application development
• Mobile application development
• Search engine optimisation (SEO)
• Social media marketing
• Digital marketing and paid advertising
• Email marketing

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Project Agreement or Statement of Work signed by both parties. These Terms apply in conjunction with any such agreement.

3. Client Obligations

As a client, you agree to:

• Provide accurate, complete, and timely information, content, and feedback required for the project
• Designate a point of contact who has authority to make decisions on your behalf
• Review and approve deliverables within agreed timelines. Unreasonable delays in feedback may affect project timelines and costs
• Ensure that any materials you provide (logos, images, text, etc.) do not infringe third-party intellectual property rights
• Make payments in accordance with the agreed payment schedule

4. Payment Terms

Unless otherwise agreed in writing:

• Projects are billed on a milestone basis: typically 40% upfront, 40% at midpoint, and 20% upon final delivery
• Invoices are due within 7 days of issue unless a different timeline is specified in the project agreement
• Late payments may attract interest at 2% per month on the outstanding amount
• We reserve the right to suspend work on any project where payment is overdue by more than 14 days
• All prices are exclusive of applicable taxes (GST) unless explicitly stated otherwise

All payments are to be made in Indian Rupees (INR) unless otherwise agreed in writing for international clients.

5. Intellectual Property

Client-Owned Content: All content, materials, and assets provided by you remain your intellectual property.

Final Deliverables: Upon receipt of full and final payment, ownership of the agreed final deliverables (website, application, designs) transfers to you. This excludes any third-party licensed components, open-source frameworks, or pre-existing TechMate proprietary tools.

TechMate's Rights: We retain the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing prior to project commencement.

Website Content: All content on www.techm8.in — including text, graphics, logos, and code — is the intellectual property of TechMate Web Solutions and may not be reproduced without written permission.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation continues for 2 years after the termination of the project. We are happy to sign a Non-Disclosure Agreement (NDA) before any project discussions, upon request.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• TechMate Web Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services
• Our total liability for any claim arising from a project shall not exceed the total fees paid by you for that specific project
• We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to third-party platform outages, client delays, or force majeure events

8. Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination:

• You are liable for all work completed up to the date of termination, calculated on a pro-rata basis
• All deliverables completed and paid for up to that point will be transferred to you
• Upfront deposits are non-refundable in the event of client-initiated termination after project commencement

We reserve the right to terminate immediately in cases of non-payment, abusive conduct, or use of our services for illegal purposes.

9. Warranties & Disclaimers

We warrant that our services will be delivered with reasonable skill and care, in accordance with industry standards. However:

• We do not guarantee specific business outcomes, search engine rankings, or revenue results from our services
• Websites and applications are delivered "as is" after client approval; we are not responsible for post-launch issues caused by client modifications
• We are not responsible for third-party platform changes (e.g. Google algorithm updates, social media policy changes) that affect the performance of our deliverables

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising under these Terms shall first be attempted to be resolved through mutual negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Hyderabad, Telangana, in accordance with the Arbitration and Conciliation Act, 1996. The courts of Hyderabad shall have exclusive jurisdiction for any matters not subject to arbitration.
